Legal and Ethical Obligations for Boomitra’s Business Partners, Farmers and Ranchers Associated with Boomitra, and Business Associates

1) General Compliance: Boomitra’s Business Partners shall comply with all applicable local laws and regulations, including but not limited to the itemsbelow, in respect of our business dealings, and shall notify Boomitra of any suspected breaches or any other non-compliance with the standards set out in this document, allowing for joint verification of facts.

2) Bribery and Corruption: Boomitra’s Business Partners shall uphold the highest standards of business ethics, respect local laws, and shall not engage in any form of corruption, bribery, fraud, facilitation payments, kickbacks, illegal gratuities, or extortion. Boomitra considers facilitation payments a form of corruption and has a zero-tolerance policy for such payments.

3) Money Laundering: Boomitra conducts business with high integrity and within the limits of applicable laws and regulations. Business Partners shall not condone or support money laundering in any form, in any location, on behalf of Boomitra.

4) Fair Competition: Boomitra strictly prohibits anti-competitive agreements or conduct, including price fixing, restricting the supply of goods or services, bid rigging, and market sharing. Business Partners are expected to commit to free and fair competition and comply with relevant competition laws.

5) Use of Products: Boomitra will not tolerate the misuse of its products for illegal purposes. Business Partners must ensure that Boomitra’s products, services, or technologies are not used, directly or indirectly, for unlawful activities.

6) Forced Labor: Boomitra will not use or accept human trafficking, involuntary labor, bonded labor, or forced labor, nor permit anyone to do so on its behalf. Any use of child labor by Business Partners must comply with internationally recognized standards, including the guidelines of UNICEF and the ILO, as well as applicable local legislation.

7) Discrimination: Boomitra takes the issue of discrimination very seriously. Business Partners must treat all employees with respect and dignity and ensure equality of opportunity regardless of race, color, religion, gender, age, national origin, sexual orientation, marital status, or disability. Boomitra’s Business Partners are encouraged to create a fair work environment and to comply with all applicable local laws concerning discrimination in hiring and employment practices.

8) Human Rights and Freedom: Boomitra expects all Business Partners to respect fundamental human rights and not violate the rights to which every person is entitled. Business Partners should recognize that all people are born free and equal in dignity and rights and should be sensitive to the moral values, religions, customs, traditions, and cultures of the communities they serve.

9) Safe and Healthy Work Environment: Business Partners shall provide a safe and healthy workplace in compliance with international standards and applicable national laws.

10) Equal Pay and Working Hours: Business Partners must pay employees fairly and in accordance with applicable national minimum wage laws. Compensation must be based on position, performance, and competence. Working hours and rest periods must comply with applicable laws.

11) Indigenous Peoples: Business Partners must respect the rights of Indigenous Peoples, ensuring they are informed and consulted before decisions are made that may affect their lands, livelihoods, or cultural practices.

12) Prohibition of Illegal Drug-Related Activities: Business Partners shall not participate in, tolerate, benefit from, or be complicit in any illegal drug-related activity, including the cultivation, processing, transport, storage, distribution, or financing of narcotics or precursor chemicals. Project lands, associated operations, or personnel must not be used, directly or indirectly, for such purposes. Any reasonable suspicion of involvement in such activities must be reported immediately to Boomitra and shall constitute a serious violation of this Policy.

13) Business Gifts and Hospitality: Boomitra prefers not to give or receive gifts. Employees may not give or accept gifts with a value exceeding USD 75 without written managerial approval. Business Partners shall not attempt to influence, or be influenced by, gifts or hospitality.

14) Conflicts of Interest: Business Partners must immediately disclose and address any situation involving an actual, potential, or perceived conflict of interest involving Boomitra’s employees or operations.

15) Protection of the Environment and Environmental Impact: The use of environmentally friendly technologies, products, and services is encouraged, with the aim of optimizing the use of natural resources, energy, and water, and minimizing negative impacts on air, water, groundwater, soil, biodiversity, and the climate. Business Partners are encouraged to operate in compliance with all applicable environmental laws, implement environmental management systems, and use environmentally responsible technologies, products, and processes to minimize negative impacts.

16) Sustainability: Business Partners are expected to adopt and promote sustainability principles, comply with applicable environmental, social, and governance (ESG) regulations, and anticipate regulatory changes to ensure continued compliance.

17) Grievance Mechanisms: Business Partners are encouraged to implement reporting and grievance mechanisms for workers and other potentially affected stakeholders, ensuring that issues are addressed fairly and transparently.
