POLICY BRIEF & PURPOSE

At Boomitra, we recognize the importance of Environmental, Social, and Governance factors in contributing to sustainable business practices and long-term value creation. This ESG Policy outlines our commitment to responsible and ethical business conduct, emphasizing environmental stewardship, social responsibility, and effective governance.

Under this policy, we are committed to comply with local applicable legislation and regulations in the various locations of our operations. In addition, to the extent practicable, we continuously aim to improve our performance in the areas of Environmental, Social, and Governance. We recognize our responsibility to protect the environment, commit to ethical business practices and effective governance.

 

SCOPE

This policy applies to all Boomitra’s board members, employees, interns, its vendors, partners, investors, customers, contractors, shareholders, and any other people we are connected to or do business with.

 

ENVIRONMENTAL STEWARDSHIP

Balanced choices for a healthy planet. Adopt improved and balanced choices that aid in achieving certain sustainability goals. Educate others without being non-confrontational.

One of Boomitra’s Values is Sustainability and is the very foundation on which we do business and on which all our actions should be based. They define the character of our organization and about who we are. Demonstration of these values is reviewed during the employee performance appraisal. This ensures we balance “what” you want to achieve and “how” you do it.

Sustainability: We believe that developing a sustainable business is not only the best way to help look after our environment, but it also contributes to delivering a successful and ethical company. Our environmental impact is relatively small, but we still have a responsibility to protect the environment. For our stakeholders, this can be an important aspect as an increasing number seek to do business only with companies who have a clear understanding of their environmental impact and have policies in place to try and reduce it.

Compliance with Environmental Laws

Boomitra is dedicated to complying with all applicable environmental laws and regulations in every location where we operate. When it comes to environmental impact, Boomitra aims to meet the highest standards of compliance and to promote sustainable business practices within our operations and throughout our supply chain, be it offset or inset projects.

Resource Conservation

We strive to minimize our environmental footprint by conserving natural resources, reducing energy consumption, and promoting sustainable practices throughout our operations. As far as possible our employees will reduce travel by air unless really required. A video conference as a potential alternative to a physical meeting or carpooling when travelling for an off-site meeting can be amongst the many choices that can be made. Sustainable sourcing practices will be adopted to minimize the environmental impact of our supply chain.

Waste Reduction and Management

Boomitra is committed to reducing waste generation, especially the use of paper, plastic, and disposable products in its offices, promoting recycling and responsible disposal practices, and continually seeking ways to minimize our impact on landfills.

Carbon Reduction Targets

Boomitra commits to setting and regularly reviewing science-based target initiatives to reduce carbon emissions in its various offset and inset projects, contributing to global efforts to mitigate climate change. We are committed to reducing our carbon footprint and actively working towards climate neutrality.

Biodiversity Conservation

Boomitra recognizes the importance of biodiversity and is committed to conducting business in a manner that preserves and protects ecosystems, especially in our carbon projects. We are dedicated to preserving biodiversity and minimizing our impact on ecosystems. We will support initiatives that contribute to biodiversity conservation and habitat protection.

We are open, honest, and cooperative with our regulators. We ensure that the information we provide them is accurate and complete. The Board is collectively responsible for the Company’s financial and operational performance, as well as for promoting the success and sustainability of the business. The Board fulfills its responsibilities by directing and supervising the Company’s strategy and policies.

Objectives

Ensure Accountability: We will establish clear lines of accountability throughout the organization to promote responsible decision-making.

Enhance Transparency: We will provide stakeholders with accurate, timely, and relevant information about our activities, performance, and decision-making processes.

Protect Stakeholder Interests: We will safeguard the interests of our shareholders, employees, customers, and other stakeholders through fair and ethical business practices.

Board Structure and Composition

Independence: We will maintain a balanced and independent board to provide effective oversight and guidance.

Diversity: We will promote diversity in board composition, including but not limited to gender, ethnicity, skills, and experience.

Committee Structure: We will establish board committees (e.g., audit, compensation, governance) with clearly defined roles and responsibilities to ensure specialized oversight.

Ethical Conduct and Integrity

Code of Conduct: Conflicts of interest can have a significant negative impact on the reputation and effectiveness of Boomitra, its business, and its people. They arise when an employee allows their actual, perceived, or potential personal, financial, or non-financial interests to affect their objectivity when performing their job at Boomitra. Even the perception of a conflict of interest can damage our business and reputation. This happens when personal interests could affect judgement and conflict with Boomitra’s interests.

Boomitra has a comprehensive Code of Conduct that outlines the expected standards of conduct for all employees, executives, and board members. The company also has in place a “Partner Ethics Policy and Code of Conduct” that applies to all its partners and other stakeholders that sets out our expectations and relationship with them. We work hard to ensure our partners share our responsible values and that we, in turn, treat them with trust and transparency.

Conflicts of Interest: Boomitra’s policy on “Conflicts of Interest” is well laid out in the “Code of Conduct” which is signed by all its employees. It lays down the processes to identify and manage conflicts of interest among board members, executives, and employees.

Whistleblower Protection: Boomitra has a “Whistleblower Policy” in place that establishes mechanisms for employees and stakeholders to report concerns about unethical behavior, with protections against retaliation.

Risk Management

Risk Oversight: The board will oversee a comprehensive risk management framework to identify, assess, and mitigate risks affecting the organization.

Risk Reporting: Regularly report on the organization’s risk profile and mitigation strategies to the board and relevant stakeholders.

Compliance and Legal Responsibilities

Legal Compliance: Comply with all applicable laws, regulations, and industry standards. Regularly update the board on legal and regulatory changes that may impact the organization.

Data Privacy: Establish and maintain robust data privacy and security practices to protect sensitive information.

Boomitra respects the confidentiality of the personal information of its employees, customers, suppliers, and service providers. All our stakeholders and many others entrust us with personal information, and it is our responsibility to keep this information confidential.

The very nature of our business means we handle personal and confidential information about our employees, candidates, and stakeholders every day. We have an important duty to respect this information and ensure it is protected and handled responsibly and only used for the purposes for which it is provided. We take our obligations under data protection and privacy laws across geographies very seriously.

Communication and Reporting

Stakeholder Engagement: Actively engage with stakeholders, including shareholders, employees, and customers, to understand their concerns and expectations.

Transparent Reporting: Provide transparent and regular reports to stakeholders on the organization’s governance practices, financial performance, and strategic direction.

Financial/Non-financial Accounting and Reporting

Boomitra has an obligation to its investors, employees, stakeholders, and bankers to ensure transparent and honest reporting accurately on business performance. Accurate record-keeping protects our reputation. Boomitra’s financial records are the basis for managing the Company’s business and fulfilling its obligations to various stakeholders. Therefore, any financial record must be accurate and in line with Boomitra’s accounting standards.

We will always:

  • Accurately and fairly report all business transactions and performance metrics.
  • Complete all expense claims accurately and in line with the employee business expense procedure.
  • Maintain records in accordance with legal requirements.

 

DISCIPLINARY CONSEQUENCES

Every board member, employee, and stakeholder is responsible for complying with this policy. Employees should follow these instructions and will be held accountable when they don’t. We will take disciplinary action that may extend to termination when anyone consistently disregards key guidelines and regulations set out in this policy.
